Letter to Members of CCLBG to Provide Full Names (s.113A CA 2006)
The Economic Crime & Corporate Transparency Act 2023 (ECCTA) received Royal Assent on 26th October 2023 and aims to increase corporate transparency as well as the usefulness of the information that is held on shareholders and members of charitable companies.
The Companies Act 2006 (CA 2006) requires charitable companies to keep a register of members and to record in it the names and addresses of their members (s.113 CA 2006), but “names” is not defined. Therefore, a charitable company’s register of members could include abbreviations and initials rather than the member's full name. The ECCTA contains changes to these rules which have not yet been brought into force: new provisions about the names and service addresses of members to be recorded in the register of members (s.113A CA 2006), and about new members providing this information to the company and members notifying the company of any change to it (s.113D & E CA 2006). A charitable company may nevertheless ask its members for their full names and a service address so that its register of members is accurate and complete.
This template letter can be sent to members requesting that they either confirm their details are already correctly recorded or that they will provide the charitable company with these details. There is an accompanying pro-forma reply letter which should be sent with this letter. The member should send this back to the charitable company with the requested information included.
Requisite details should be inserted into the highlighted fields or the wording can be adjusted to suit your purposes. Wording in square brackets is optional. If it is required, then the brackets should be deleted and the wording within them retained. If the wording is not required, then it can be deleted.
