As a matter of good practice, companies should consider keeping a register listing all the gifts and hospitality that each director receives. This dovetails with our conflicts of interest register and ensures that the process of declaring conflicts of interest or potential conflicts is an open and transparent one as any gifts or hospitality offered or received by a director, could potentially result in a conflict of interest.
This register is set out in the form of a table and should be kept by a company secretary or administrator, as well as appended to the back of any conflicts of interest policy the company has. This register includes a de minimis threshold, below which the value of gifts and hospitality do not need to be declared. This will depend on the company in question as to what monetary value is appropriate.
