Confidentiality Letter - Reciprocal Undertakings

This Reciprocal Confidentiality Letter provides a straightforward way to protect confidential and sensitive business information exchanged between two parties.

Use it where both parties may disclose technical and/or commercial information to each other, their representatives and/or their associates.

Reciprocal confidentiality in a simpler letter format

Because the arrangement is reciprocal, either party may be the recipient of confidential information. The letter sets out the undertakings that apply when a party receives information from the other.

  • each party may disclose and receive confidential information;
  • the undertakings apply to whichever party is receiving the information; and
  • the wording also covers information shared with representatives and/or associates.

When to use the full two-party NDA instead

This letter is suited to simpler reciprocal confidentiality arrangements. For more complex transactions, where a dedicated contract or agreement is needed, the Non-disclosure Agreement (Two Party Disclosure) may be more appropriate.

Signing the reciprocal confidentiality letter

Each party should print the letter, send it to the other party, and have the recipient sign and return it to the sender.
