Declaration of Beneficial Ownership (Individuals)

A beneficial owner is a person who owns or controls shares in a company but who may not be the registered shareholder listed in the company’s register of members. Beneficial ownership of companies is a heavily regulated area since the introduction of the People with Significant Control (PSC) regime in 2016. However the PSC regime is highly prescriptive and concerns beneficial ownership of more than 25% only in a company as well as having a very broad definition of “ownership”.

There can however be a need, particularly as part of a share sale, for individuals to confirm their beneficial ownership in a company, even if it is an ownership of 10% or less and in a less prescriptive form than is required under the PSC regime. This document template is a form of letter from the beneficial owner(s) of shares confirming that he/she/they, is/are the ultimate owner(s) of shares and his/her/their holding %. This can be a useful confirmation and provide a level of comfort, particularly to the purchaser in an acquisition situation.

This template does not seek to replicate the more rigorous requirements of the PSC regime. Details of the PSC regime can be accessed here .
