Trade Mark Licence (Short Form)

This Trade Mark Licence is designed for use where one party owns rights in one or more trade marks and another party wants to use those trade marks under licence.

The agreement sets out the terms governing the licensee’s use of the trade marks and can be used for a single trade mark, multiple trade marks, registered trade marks, unregistered trade marks, or a combination of them.

Licensing trade marks for defined purposes

The licence controls how the licensee may use the trade marks. The key limits are the territory and the stated purposes for which the trade marks may be used.

The stated purposes may cover the sale of goods, the provision of services, or both, provided they are clearly defined.

• The trade marks being licensed should be clearly identified.
• The permitted territory should be defined without ambiguity.
• The permitted purposes should be precise so both parties understand the scope of the licence.

Once the agreement has started, changes to those details require written consent, helping to protect the trade mark owner’s interests.

Royalties, advance payments and trade mark licence controls

In return for using the trade marks, the licensee pays royalties. The agreement also includes an option for an advance payment.

The template includes detailed provisions on permissions and restrictions, licensor and licensee obligations, royalties and records, warranties, indemnity, limitation of liability, legal proceedings, confidentiality, termination and post-termination matters.

Is this different from the Trade Mark Royalty Agreement?

The terms of this licence are substantially the same as those in the Trade Mark Royalty Agreement. Users of either document do not need to download the other.
