Register of Directors (Individual Directors)

The Companies Act 2006 requires companies to keep a register of directors (s.162) and a register of directors' residential addresses (s.165). Whilst the Companies Act 2006 does not distinguish between individual and corporate directors as far as maintaining one register is concerned, the disclosure requirements for each are different. This sub-folder therefore includes two template forms of the register of directors; one for individual directors and one for corporate directors.

This template sets out all the details for individual directors as prescribed by section 163 of the Companies Act 2006.

Note that there is a requirement under section 163 for companies to provide a service address for each director. A service address means an address at which documents may be effectively served on the director. A director may give the company’s registered office as his or her service address. The service address may also be the same as the director’s usual residential address but this will not be apparent from the public record.

The register must be kept available for inspection at the company’s registered office (or at a place specified in regulations under section 1136 of the Companies Act 2006), by members (free of charge) or the public (for a prescribed fee). Refusal to permit inspection is an offence for which every company officer in default (including a shadow director) can be liable. In addition, the court may compel immediate inspection of the register if the company has refused.

Note that under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), the requirement for companies to maintain statutory registers (other than the register of members) will be abolished. This includes the register of directors & register of directors' residential addresses. The register at Companies House will become the sole, verified source of this information. The ECCTA creates stringent requirements for keeping Companies House updated on all changes. These will need to be notified to Companies House within 14 days of any relevant change occurring. This will impact the information that is currently required in relation to the register of directors & register of directors' residential addresses. No commencement date has yet been announced as to when this provision will be in force.
