This Guidance Note – Clubs should be referred to before taking any steps to set up any type of club, whether it is to be a sports and/or social club or any other type of club, whether or not it is to be a charity, and whether it is to be in the form of a company or an unincorporated association.

This Guidance Note – Clubs covers various aspects of clubs, including the nature of a private members’ club, the differences between a private members’ club and a proprietary club, the different types of legal structure which may be used as the basis of a private members’ club, and whether a club may or should be set up as a Community Amateur This Private Members’ Club - Long Form Constitution is for a members club in the form of an unincorporated association. It may be used or adapted for a sports and/or social club, or for indeed any other type of “members’ club”.

This long form is suitable for any size club, but is likely to be better suited to larger clubs with relatively substantial assets/funds and membership numbers. The accompanying shorter form Private Members’ Club - Short Form Constitution is likely to be more suitable for smaller clubs with relatively modest assets/funds and membership numbers.

This Private Members’ Club - Long Form Constitution is not suitable for a Community Amateur Sports Club or a club intended to be a charity or intended to be in the form of a company.
