Patent and Know-How Licence
This Patent and Know-How Licence is designed for use where one party owns rights in a patented invention and another party wants permission to use it.
It covers the licensed use of patent rights and related technical information, or know-how. It can be used for product patents, process patents, or both.
What patent rights and know-how can the licensee use?
The licence allows the licensee to work under the patent rights and use the relevant know-how connected with them.
- the licence may be exclusive or non-exclusive;
- the licensed rights are identified in the patent rights schedule; and
- the licence includes a formal patent licence for registration.
How are patent royalties handled?
Payment is made through royalties payable at predefined intervals. The licensee must also keep detailed records and provide reports relating to those royalties.
How is technical know-how protected?
The template includes confidentiality provisions and a secrecy undertaking to help protect technical information disclosed as part of the licence.
It also deals with improvements, performance, patent-related obligations, termination, force majeure, notices, and law and jurisdiction.
Is this different from the Patent Royalty Agreement?
The terms and conditions of this licence are substantially the same as those in the Patent Royalty Agreement, which is also available from Simply-Docs. Users of either document do not need to download the other.
