Industrial Designs Licence
Owners of registered designs, design rights, copyright and other intellectual property rights in industrial designs often licence those rights to others as a way of exploiting their designs and putting them into production.

What does the industrial design licence allow?
The agreement creates a licensing relationship between the licensor, as owner of the industrial designs, and the licensee.
It grants the licensee rights to manufacture and sell the relevant product or products, covering the intellectual property rights in those products and in related design and other documentation.
Products, design specifications and trade marks
The schedules identify the practical and IP details needed to support the licence.

The agreement also includes provisions dealing with quality control, trade marks and IP notices applied to products.
Fees, royalties and commercial protections
Payment under this agreement takes the form of an initial sum followed by quarterly royalty payments.
Other key provisions deal with confidential information, warranties, indemnities, intellectual property rights, term and termination, non-assignment, further assurance, costs, relationship of the parties, and law and jurisdiction.
When is a manufacturing licence more suitable?
