Industrial Designs Licence

The owners of registered designs, design rights, copyright, and other important intellectual property rights subsisting in industrial designs often choose to licence those rights to others as a means of exploiting their designs and putting them into production.

This Industrial Designs Licence is designed for use in such situations. Rather than focusing on one specific IP right, this document bundles together rights such as registered designs, design rights, and copyright under the heading of an “industrial design”.

This licence agreement template sets up a relationship between a licensor and a licensee whereby the licensor (the owner of the industrial designs) grants the licensee a licence to manufacture and sell their product(s). The licence covers the intellectual property rights in those products as well as in related design and other documentation.

Payment under this agreement takes the form of an initial sum, followed by quarterly royalty payments. Other key provisions cover matters such as quality control, the application of trade marks and other IP notices to products, confidential information, warranties, and indemnities.
