Directors’ Loan Agreement Basic Form – Loan to Company

CO.LAT.08

This Directors’ Loan Agreement - Loan to Company (Basic Form) is designed for a director (or shareholder) making a loan to their own company. It is a simpler, more straightforward alternative to the longer form directors’ loan agreement.

What This Directors’ Loan Agreement Template Does

It follows the structure of the longer form agreement but removes many of the additional protections, making it suitable where the parties do not need security or extensive representations, warranties, and covenants as a condition of lending. It is intended for lending small to medium sums over a specified period, with clear terms on repayment and interest.

What It Covers

The agreement includes provisions covering the facility and purpose, drawdown, confirmation that no security is given, repayment and interest, default and payment mechanics, set-off, assignment, communications, and governing law and jurisdiction.

Long Form Alternative

If you need more detail or protection, consider using Directors’ Long Form Loan Agreement - Loan to Company instead.

Consumer Credit Act Point

NOTE: This Agreement is not intended to be regulated by the Consumer Credit Act 1974.
