Board Minutes – Issue & Allotment of New Shares Approval by Written Resolution
These Board Minutes approve the issue and allotment of new shares in a private company following shareholder approval of the allotment and the disapplication of pre-emption rights by way of written resolution.

Note that it will not always be necessary to have shareholder authorities in place to allot shares (or they may already be in place and do not need to be repeated). The Checklist for the Issue & Allotment of Shares sets out the circumstances when shareholder approval is required.
These board minutes have recently been updated to include reference to the PSC register (persons of significant control) and that by allotting and issuing new shares in a company, shareholdings may change requiring a notifiable change to the register.
