Hire Of A Room Or Hall From A Charity
CO.HP.01
This Hire Of A Room Or Hall From A Charity is designed to be used by a
Charity which owns or leases premises that it hires out to others. Although the
charity may use its premises most of the time, the premises might not be in use at certain times. The charity might be able to bring in some additional income by hiring
out part or all of its premises at those times of day or on those days when the premises are not in use. This additional income stream could usefully supplement the charity's fundraising or grant or other income.
For example, a room or hall at the charity's premises or even the whole of its premises might sometimes be unused. The charity could exploit its property asset by hiring it out on a
commercial basis on those occasions either to another charity or to some other person or
organisation. It could hire it out for a particular one off event, e.g. for a “one off” meeting, or it could hire it out for a regular class on a block booking” basis, e.g. an
exercise or other class held on the same evening every week over a term or other period. This template is specifically designed to be used in that situation.
This document includes various sets of alternative phrases / clauses enclosed in square
brackets which can be selected to suit the particular circumstances.
The first part of the template contains the details of the parties. It contains alternatives from which you can select according to the legal form
of both the charity and the hirer. The execution (signature) clauses at the
end are also designed to match those alternatives types of charity and
hirer.
The document also contains alternative sets of wordings for hire of either
part of the premises or the whole of the premises, and for booking of
either a one off session or block booking of a number of sessions.
Since it is drafted to be used by a charity, it is slanted in its favour but not unduly so: it is still fair to the hirer. It includes detailed
and clear provisions which seek to minimise the charity’s legal exposure
and to set out all of the important legal and commercial terms of the
arrangement. In particular, it includes detailed provisions for:
· payment of a deposit and the balance of the hire fees
· payment of a security deposit to cover any damage by the hirer
· cancellation by either the charity or the hirer in different
circumstances, stating precisely the financial liability that each will
have to the other in that circumstance
· insurance by the hirer
· limitations/exclusions of liability of charity
· indemnities given to the charity by the hirer.
· various restrictions, prohibitions, and requirements to be met by the hirer, including health
& safety and housekeeping conditions, all set out in
a schedule.
This document is designed to be used where the owner is a charity and the hirer is either a charity or other non-profit organisation, or is an individual sole
trader, company or other business organisation. However, to avoid the charity being
exposed to any legal liability under consumer protection laws, it should
not use this template where the hirer is an individual acting as a consumer. For
example, if an individual were to hire the premises for their family party, the hirer would be a
“consumer” in law because they would not acting in the
course of a business.
The alternative phrases / clauses should be read carefully and selected so
as to be compatible with one another. Unused options should be removed from
the document.
