This Consultancy Agreement (Long) – Company (engaging employees/subcontractors) is designed for use where the consultant is a consulting company (rather than a sole trader or partnership) whose staff or subcontractors carry out the consulting services for the consulting company's clients. It is drafted in favour of the consulting company providing the consulting services and to reflect current best practice.

Before using this agreement, it is recommended that you take professional advice about it which takes into account the content of the agreement and all of the circumstances, and considers any adverse legal or tax implications of using this form for the consulting company and/or the people engaged by it to provide the consulting services.

This template does not have the Non-Solicitation or Non-Competition undertakings by the consulting company to protect the client which are found in the Client Versions. It provides alternative clauses whereby Intellectual Property in respect of work performed by the consulting company will vest in either (whichever is preferred) the consulting company or in its client. It provides for the consultancy services to be performed either on the client’s premises or not.

This form is appropriate where the work is of high value or the relationship between the consulting company and the client is complex or the agreement is to be for a reasonable period.
