This Supply of Goods Standard Terms (Framework) Schedule template is an
example of a Schedule that can be inserted as Schedule 2 to the General
Supply of Goods Framework Agreement in this subfolder.
It should only be used however if the supplier is content that it meets its
requirements and circumstances. If it does not, then it should be adapted
as necessary or an alternative set of standard terms should be used, either
a set from another subfolder in our Business folder or a set provided by
the supplier. In either case, the terms must be adapted if and as
necessary.
By using the General Supply of Goods Framework Agreement template and a
suitable Schedule 2 a supplier of goods can establish a facility for a
customer to place an order with the supplier from time to time on
pre-agreed standard terms (a “framework” or “call-off” agreement).
Once a suitable Schedule 2 has been attached to the General Supply of Goods
Framework Agreement, the Agreement is then signed by both parties.
It is also possible to insert one or more additional Schedules each
containing a further set or further sets of terms, such that each different
distinct type of goods offered by the supplier is supplied on the basis of
its own set of distinct terms in the relevant Schedule.
Optional phrases / clauses are enclosed in square brackets. These should be
read carefully and selected so as to be compatible with one another. Unused
options should be removed from the document.
