Charity Conflicts of Interest Register
This Charity Conflicts of Interest Register is for the trustees of a charitable company or a charitable incorporated organisation (CIO) in England and Wales. It records each conflict of interest that a trustee declares and the steps taken to deal with it.
The register comes with short completion notes, which explain:
- what to record, including financial conflicts and conflicts of loyalty;
- how to complete an entry for each trustee and each matter;
- how to record the way the conflict was managed, including any withdrawal from the discussion or vote and whether enough trustees remained to form a quorum;
- that any payment or other benefit to a trustee or connected person needs its own power or authority;
- how to keep the register up to date and who should see it.
Recording a conflict does not itself authorise it. The register is designed to be used with the charity's governing document, its conflict of interest policy and the trustees' minutes.
