Amending Charity Constitutions: Charitable Company

The members pass a special resolution, needing at least a 75% majority, to change the articles. For a charitable company certain changes also need the Charity Commission's prior written consent, and the amended articles and resolution are then filed at Companies House. Use the resolution that matches whether Commission consent is required. Simply-Docs provides both versions.

Regulated alterations need the Commission's prior written consent: altering the charity's objects, altering any provision on how property is applied on dissolution, and any change that would authorise a benefit to directors, members or connected people. Consent must come before the change, since it cannot be given retrospectively, and a change made without it is ineffective. Simply-Docs provides separate resolutions for changes that do and do not need consent.
