Certificate of Membership Charitable Company Limited by Guarantee
This Certificate of Membership for a charitable company limited by guarantee is a form of certificate which can be signed by two directors (and trustees) of the charitable company and sent to a member with a covering letter accepting the member’s application for membership.
Whether a charitable company limited by guarantee issues a membership certificate is a matter of preference: there is no legal requirement to do so. If the charitable company chooses to issue certificates, the certificate should reflect the details required to be stated in the register of members under section 113 of the Companies Act 2006, being the name of the member and the class of membership (if any).
This certificate is modelled on a share certificate issued to members of a company which has shares. The certificate contains a statement which confirms that, as provided by the charitable company’s constitution, membership is not transferable.
When the charitable company sends the Certificate of Membership to a member, it can send it with a covering letter in the form of the Acceptance of Application which has also been included in this subfolder. That form of letter is the charitable company’s acceptance of an application for membership.
