Shrink Wrap Software Licence Agreement
This Shrink Wrap Software Licence Agreement is designed for use in (or on) the packaging of software that is distributed on physical media such as a CD or DVD-Rom. In such cases there will not be an opportunity for a mutually signed licence agreement.
The contractual terms of the licence agreement are deemed to be accepted when the package containing the installation media is opened.
Updates have been made to this template which include some limited modernisation of technical terms and the addition of greater flexibility in the terms of the agreement which now easily allows a greater freedom to define, for example, the number of computers on which the licensed software may be installed.
Key provisions in this agreement include those which set out the parameters of the licence itself (including what the end-user may and may not do with the software) and a limited warranty and associated disclaimer.
Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
This Shrink Wrap Software Licence Agreement contains the following sections:
2. Permitted Use
3. Restrictions on Use
10. No Waiver
12. Entire Agreement
14. Law and Jurisdiction
15. [Software Licence Registration Card]
