Does a Private Company need to hold AGMs?

There is no statutory obligation for private companies to hold an AGM. An AGM will only need to be held if the company’s articles of association require it (there is no requirement in the model articles either). Companies can pass a special resolution to alter its articles to dispense with any constitutional requirement to hold an AGM should it so wish.
