Guidance Note: Adapted versions of Charity Commission Model CIO Constitutions
This Guidance Note: Adapted versions of Charity Commission Model CIO Constitutions will assist you to produce a constitution for a new CIO (Charitable Incorporated Organisation).
The Charity Commission’s two model forms of CIO constitution are included in this subfolder.
Those templates are comprehensive and they meet the needs of a large and/or complex charity but they are lengthy and complex.
However, a small or medium sized charity organized and run in a relatively simple way is not likely to need such lengthy and complicated documents. It might not need to include some or all of those clauses in the Commission’s forms which it includes as optional clauses. Our two adapted versions of the Commission’s template constitutions, whilst based on the Commission’s two templates, are shorter, more streamlined, omit optional clauses, and will be better suited to the needs of many charities.
Our adapted versions of the Charity Commission’s model forms of CIO constitution can be found in this subfolder - see Constitution for a CIO whose only voting members are its trustees (‘Foundation’ model) – marked-up adapted version CO.CIO.04 and Constitution for a CIO with voting members other than its trustees (‘Association’ model) – marked-up adapted version CO.CIO.05.
Those Simply Docs adapted versions are marked up to show the text that we have deleted from or added to the Commission’s versions. (We have also included in this subfolder a “clean” copy of each of those adapted versions; the text of each of them is identical to the marked up versions except for the revision markings showing the changes we have made to the Commission’s model forms.)
The purpose of this Guidance Note: Adapted versions of Charity Commission Model CIO Constitutions is to guide you through the changes that appear in the Simply Docs adapted versions, explaining why each change has been made and the effect of each change. It will enable you to make an informed choice when you are deciding which changes to adopt when preparing your draft CIO constitution. The changes that you make will depend on the particular circumstances and needs of your charity.
