Sample Template Electronic Signature Clause

This template provides a sample electronic signature clause for inclusion in a contract where the parties agree that the contract may be executed electronically (as well as, or instead of, by manuscript signature).

An electronic signature will not be denied legal effect nor admissibility as evidence in legal proceedings solely because it is electronic. This clause is intended to increase the parties’ confidence that their e-signatures are binding.

When this clause is suitable

This clause should only be used in the context of a corporate or commercial simple contract. It is not applicable to deeds or property-related documents.
