Removal of Directors

Mechanisms for Removing a Director

Shareholders can remove a director by using the statutory procedure set out in section 168 of the Companies Act 2006 and passing an ordinary resolution at a general meeting. The director affected is able to make representations at the meeting.

More information is available in our Removal of Directors sub-folder of templates which includes a guidance note, notices, resolutions and board minutes as required.
