With Covid-19 now firmly in the rear view mirror, this template has been updated and all references to Covid removed. However it is possible that a share sale may occur during a time of a generalised or localised public health emergency and this template seeks to cater for such a situation.

This template is based on the standard warranties found in any of our Share Sale and Purchase Agreements (SPAs) and includes additional warranties to cover the potential business fallout and uncertainty created by a pandemic/epidemic/public health emergency type situation. The extent to which a company being sold may be affected will vary from business to business, but most buyers will want increased warranty protection considering the potential impact to employees, health and safety, financing, customers and supply chain, legal and regulatory compliance and business continuity.

The warranties included in this template are only a starting point and customers may need to add to them depending on the business concerned.

These warranties should be dropped into and replace the standard warranties in the SPAs if these type of warranties are required.
