Share Sale and Purchase Agreements
In any share sale, where the buyer and/or seller(s) are companies, they will need to hold a board meeting to approve the respective acquisition or sale. This month the board minutes for both a buyer and seller have been updated and modernised to approve the transaction in question, as well as the execution of the transaction documents.
These updated templates complement and are designed to be used in conjunction with the template share sale and purchase agreements. They have been drafted on the assumption that the buyer or seller are private limited companies and that the buyer is buying, or the seller is selling, the whole of the issued share capital of the target company in question. The templates allow for the circumstances of the transaction in question to be included but assume cash consideration and simple completion mechanics.
