Memorandum - Public Company Limited By Shares
The Memorandum - Public Company Limited by Shares is in the prescribed form and complies with the Companies Act 2006.
The memorandum of association of a company states that the subscribers wish to form a company under the 2006 Act and have agreed to become members and to take at least one share each. The memorandum of a public limited company by shares will not differ from that of a private company limited by shares, other than to state that it is a plc rather than a limited company.
Note that for companies incorporated under the Companies Act 1985 and which have not updated their constitution in line with the Companies Act 2006, the provisions currently in their memorandum and which no longer appear in the memorandum of a 2006 Act company, will be treated as provisions of the company's articles.
Once a company has been incorporated, the memorandum cannot be amended.
