Role of Non-Executive Directors
To introduce a broader, more impartial perspective, many companies also bring one or more non-executive directors onto the Board in the interests not only of dispute resolution but also to test the business judgement of the executive directors. Non-executives may have a particular skill or area of expertise which will assist the Board with decision-making.
Non-executives may typically be retained for a number of days a month at a fee and be required to attend Board meetings.
It should be brought to the attention of prospective non-executive directors that they have the same legal responsibilities and liabilities as executive directors.
