Company Secretarial Services Agreement

A public company, must have a company secretary who is suitably qualified and experienced to perform his duties. Specifically he or she should have a legal, accounting or company secretarial qualification or sufficient experience in a comparable job to perform the duties inherent in the position.

Since the implementation of the Companies Act 2006, a private limited company is no longer required to have a company secretary unless the Articles of Association require it.

The directors of a public company must appoint at least one person to serve as company secretary. A person here includes a company.

Where a company secretary is to be appointed, it may be simpler to appoint an outside adviser such as a solicitor or accountant, or a specialist Company Secretary Services company to act as your company secretary and deal with your statutory requirements.
