Board Minutes to Approve EIS Investment
These board minutes can be used to record the proceedings at a board meeting convened to approve an investment in the company under the Enterprise Investment Scheme (EIS). As EIS shares must be “issued”, the company will need to issue and allot new shares to the proposed investor(s). These board minutes:
- approve the EIS investment;
- approve the issue and allotment of the relevant subscription shares;
- consider the terms of the Subscription Agreement; and
- resolve to make the relevant filings with Companies House and write up the statutory books promptly.
As shares are not legally issued until the shareholder’s name is written up in the register of members, the board minutes need to provide for the statutory books to be written up promptly.
