This Company Formation Pack provides all the relevant documents required to form a Private Limited Company from a single form. It assumes that the party filling the form is a principal/subscriber.
The pack assumes all shares are ordinary and fully paid, that there are three or four directors who may or may not be the subscribers, one of whom may or may not be the Company Secretary. The Form includes filling, printing and other general instructions.
This Company Formation Pack has been updated to include the changes introduced on 1 October 2008 by the Companies Act 2006, in particular, the Articles of Association provided in the pack contains provisions dealing with directors conflicts of interest.
For Private Companies to be incorporated on or after 1 October 2008 the directors' power to authorise a conflict is implied without the need for specific wording in the Articles. However, these companies are advised to include provisions in their Articles dealing with conflicts of interest to ensure that they comply with the 2006 Act.
For Private Limited Companies that do not want their Articles of Association to confer to the directors the power to authorise conflicts of interests but wish to deny this power, "Articles of Association for Private Co Limited by Shares – Version 2" which can be found in the Memorandums & Articles of Association sub-folder.
First part provides: - Subscription letters, Memorandum and Articles of Association, Companies House Forms 10 & 12 and letter to Companies House (enc. Cheque for £20.00).
Second part provides (following receipt of certificate of incorporation):- Share certificates, Minutes of First Board Meeting, Companies House forms for Allocation of Shares and Change of Accounting Reference Date, Statutory Registers.
