Partnership Written Resolution provides a standard written resolution format for partnership decisions.

Unlike limited companies, the legislation governing partnerships does not specify how partnerships should conduct meetings, use written resolutions or record internal decisions. In practice, the governing partnership agreement will often set out how decisions are reached and recorded.

What does Partnership Written Resolution do?

It provides a written resolution template, adapted from standard company formats, that can be used to record decisions of the partnership as a whole where written resolutions are permitted.

When should you use Partnership Written Resolution?

Use it when the partners want to pass a decision without holding a meeting and the governing partnership agreement permits decisions to be made by written resolution (or is silent on the point and does not expressly prohibit it).

What else you may need

Check the governing partnership agreement to confirm whether decisions may be made by written resolution, whether the agreement is silent on the point, or whether written resolutions are expressly prohibited. Clause 15.4 of Long Form Partnership Agreement provides that partners may pass decisions by written resolution instead of holding meetings.
