These E-Commerce Sale of Goods Website Terms of Use are designed for online retailers selling goods to consumers through an e-commerce website.

They govern customers’ use of the website itself and are intended to be used alongside a separate set of terms of sale. Different sale terms are available for one-off sales and for the ongoing supply of goods on a subscription basis.

This document now includes optional provisions covering the submission of user reviews directly to the site, designed to work in combination with our new Reviews Policy for First-Party Reviews. This update supports compliance with the Digital Markets, Competition and Consumers Act 2024 and its rules on fake reviews and other misleading review practices.

Use these terms to govern how customers use your e-commerce website

These terms of use include flexible wording allowing them to be accepted through use of the site or by any other method that you specify. Wording is also included for acceptance when a user signs up for an account.

The terms also refer to other documents that may apply, including your Privacy Policy, Acceptable Usage Policy, Reviews Policy, and terms of sale.

Set rules for accounts, user content, and use of the website

The terms include important information about the website operator, including company registration details, trading address, and details of any relevant regulatory bodies or associations.

Members of regulated professions should include professional titles, links to professional rules, and other relevant details. Those details are not included in this template, and anyone working in a regulated profession should seek professional advice.

Intellectual property rights are addressed in detail, covering both rights belonging to the website operator and rights belonging to users. Users also grant a licence to allow re-use of their content where needed to operate the site, for example by hosting comments, questions, or other content.

The terms also cover:

  • links to and from the site;
  • disclaimers, liability, viruses and security;
  • acceptable use and personal information; and
  • transfer of the agreement to another party.

The liability provisions distinguish between consumers and business users.

Include restrictions on scraping and text and data mining

This template includes a clause prohibiting scraping and text and data mining, including practices commonly used in the development and training of AI models. The clause is intended to make those activities a direct breach of the site’s terms of use.

It is also recommended that technical measures are used to help protect website content from scraping and text and data mining.
