Standard Software Licence Agreement

This Standard Software Licence Agreement is a comprehensive legal contract designed for use between a software licensor (who will generally be a developer and/or owner) and a licensee/end user who will be using the software in the course of business. It is a basic licence agreement granting a non-exclusive, non-transferable licence for using the software and is restricted by use on specified equipment, limited rights to copies for back-up and prohibits sub-licensing.

What terms does the Standard Software Licence Agreement provide?

The licence is designed for "on premises" use, i.e. operating on the licensee’s premises, and limited to use to an agreed list of equipment (for example, desktop and laptop computers). It cannot be hosted on a server and accessed remotely. It is not suitable for SaaS or ASP use. It applies to software that is sold in the same form to all customers, rather than fully custom-made or otherwise customised.

It is suitable for B2B applications. For B2C software licences, please refer to the range of EULAs in click-wrap, shrink-wrap, and browse-wrap formats.

The use of software under the terms of this licence is limited by reference to an agreed list of equipment (for example, desktop and laptop computers). Further restrictions focus on the way in which the software may be used, namely in object code form for the normal business purposes of the licensee and the making of copies of the software (for example, for backup purposes), and restrictions on the making of alterations.

The licence agreement provides for a testing period to ensure that the software performs correctly and in accordance with the contracted specification and further provisions for updates with similar testing provisions.

Intellectual Property Rights are addressed and the licensor undertakes to indemnify the licensee if a claim is brought against the licensee alleging infringement of third party IP rights.  A series of warranties are provided by the licensor.

Liability of both parties is limited. Certain forms of liability, however, are expressly left unlimited including sums due in respect of the aforementioned IP indemnity.

Other detailed provisions in this agreement govern payment (structured by default as a simple one-off payment for a perpetual or term-limited licence), export control and compliance with laws, and confidentiality.
