These Website Terms for Sellers – E-Commerce Marketplace are designed for
websites that offer online marketplaces that provide a sales platform for
users. Designed to work in a set of three documents along with
Terms for Sellers set out the rules and procedures governing the use of
your online marketplace by users wishing to sell items.
These terms have been written in such a way that they can be applied to
sales of both goods and digital content, allowing your users considerable
flexibility on your marketplace.
Of central importance is your role in transactions. These Terms for Sellers
clearly state that you, the website operator, are not a party to any
transactions, nor to any disputes. You merely provide an online venue for
buyers and sellers. Further provisions explain to sellers that you are not
responsible for any items that they sell.
Two types of fees, payable by sellers to you, are included in this
document: listing fees (a fixed fee payable on the submission and renewal
of listings for items), and transaction fees (a percentage fee payable on
each sale). As to payment facilities, this document is drafted on the
assumption that a third party payment system will be used and thus explains
to users that their use of that system will be subject to a separate
agreement between them and the service provider.
Further key clauses set out rules governing item descriptions, acceptable
usage, delivery obligations and associated time limits, buyers’ rights to
cancel (including the 14 day “cooling off” period for consumers and
provisions dealing with items that are not of satisfactory quality, fit for
purpose, or as described), and your liability.
Optional phrases / clauses are enclosed in square brackets. These should be
read carefully and selected so as to be compatible with one another. Unused
options should be removed from the document.
