Website Development and Design Agreement (+ Provision of Software)

This Website Development & Design Agreement is designed for use in website development projects that also involve the provision of software. This version of the document covers the assignment of intellectual property rights by sub-contractors that may be engaged by the main contractor.

This agreement is particularly useful where the web developer will be creating a website tool kit for the client. Under this agreement, the contractor assigns all right, title and interest in the design, tool kit, web pages and other relevant content to the client.

This template has been recently updated to include references to a final project acceptance form. It has also been given a broader range of applicability by replacing references to “the Company” with references to “the Client”.

In a web development transaction, this document should constitute the main agreement between the client and contractor. The project as a whole can be supported by further documents such as a project specification, a project proposal, and forms for project milestones, project acceptance, and project release.
