This Website Development & Design Agreement is designed for use in website development projects that also involve the provision of software. This agreement caters for third party software, contractor’s software, and new software created by the contractor specifically for the client. In this agreement the contractor grants a licence in respect of the third party and contractor's and assigns the new software and content.

This template has been updated to include references to a final project acceptance form. It has also been given a broader range of applicability by replacing references to “the Company” with references to “the Client”.

In a web development transaction, this document should constitute the main agreement between the client and contractor. The project as a whole can be supported by further documents such as a project specification, a project proposal, and forms for project milestones, project acceptance, and project release.
