Website Design Agreement (Designer Bias)

This Website Design Agreement has been written for use by web designers and developers to govern the design and development of complete websites for clients. This document can be applied either to the construction of a brand new site or to the redevelopment of an existing one.

This agreement is designed to cover simple, straightforward website design and development. It does not provide for the creation and supply of additional software or support, nor does it provide for hosting. It has been written with small and medium developers in mind.

The parties are free to agree upon and specify all details of the web design project in a separate project specification which is to be incorporated into this agreement as a schedule. Simply-docs provides templates for website project proposals and project specifications.

This variant of the agreement has been written with the Developer’s interests in mind:

- Unlike the Client version of this document, the payment of a deposit is no longer optional;

-The rate of interest on late payments has been left open for the developer to determine;

- The option to have the developer upload the website via FTP is now an extra-cost option;

- Full assignment of relevant rights to the Client is now contingent upon their signing an acceptance form;

- A new publicity clause, requiring an advertising link on the front page of the client’s website has been added; and

- A non-solicitation clause restricting the Client’s interaction with the Developer’s employees and customers is now included.


This template contains a range of optional clauses that allow it to be tailored to suit the delivery of the completed project either as a whole or as a series of separate milestones.

Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the agreement.
