Miscellaneous Clause

This Miscellaneous Clause sets out a range of general provisions that are typically included toward the end of a contract. Key provisions include time being (or not being) of the essence; the requirement that the parties do what is required to bring the agreement into effect and to bear their own costs; the status of the relationship of the parties; non-reliance provisions; no waiver provisions; and severance provisions.

This template clause has been reviewed and updated. It has been reworded in line with more recent document templates and re-formatted for improved compatibility.

This template clause can be used in the drafting of a new contract or to amend or improve an existing one.
