A non-executive director, like all other directors of a company, is an officer of that company and the company’s articles of association may make provision for the method by which an officer may resign or be removed from his/her office. It is usual that a letter of resignation such as this will be sufficient, but the articles should be checked to make sure there are no other relevant procedural steps.
Notice of the resignation must be given to Companies House on form TM01 within 14 days of the resignation.
