The Memorandum for Private Company Limited By Guarantee is in the prescribed form and complies with the Companies Act 2006.

The memorandum of association of a company states that the subscribers wish to form a company under the 2006 Act and have agreed to become members. As a company limited by guarantee has no shares, there will be no subscription for shares in the memorandum.

Note that for companies incorporated under the Companies Act 1985 and which have not updated their constitution in line with the Companies Act 2006, the provisions currently in their memorandum and which no longer appear in the memorandum of a 2006 Act company, will be treated as provisions of the company's articles.

Once a company has been incorporated, the memorandum cannot be amended.
