Amending Company Constitution

When a company wants to change its constitution, there is a specific process to follow as well as requirement to make certain filings with Companies House. There is no legal requirement for a company to change its Articles of Association as a result of any of the 1 October 2009 changes. However, directors should bear in mind that having a clear set of articles will assist them in complying with their duties under the 2006 Act and operating the company efficiently. 

This subfolder provides template resolutions in order to complete the process of making changes to a company's articles of association. Note that a copy of the resolution must be sent to Companies House within 15 days of it being agreed and an amended printed version of the articles must also be filed with Companies House within 15 days of the amended articles of association taking effect.

Note when using any of our templates, that Companies House from 13 March 2023, no longer accepts a set of minutes which have a resolution embedded within them. A company will instead need to file a separate copy of the resolution in circumstances where a resolution was required to be filed under the Companies Act. Their previous practice was to accept minutes which included the resolutions that were passed. 

All documents in the subfolder are compliant with the Companies Act 2006.
