The issue and allotment of shares in a private company is governed by the Companies Act 2006 and is an essential administrative process for any company. A company may allot shares when it is first set up or at any time during its lifetime, to raise share capital or introduce new shareholders.

• Authority to allot shares;
• Pre-emption rights; implementing the allotment; and
• Post allotment issues.
