Freelancer (Company) Agreements

Freelancers often work as contractors in many businesses and professions. Using freelancers in business has many advantages, both for the individual professionals concerned and their client businesses.

These document templates provide for freelancers contracting through an intermediary company (either a personal service company or some other intermediary company) rather than personally as a self-employed sole trader. Designed for use by freelance contractors for a range of professions and businesses, these Freelancer (Company) Agreements carefully regulate the relationship with the freelancer’s business client.

If the service provider is contracting as an individual (sole trader) the Freelancer Agreements should be applied.

Each template aims to minimize the risk that IR35, agency worker or other legislation will have an adverse impact on the freelancer and/or his intermediary company. It is entered into by the intermediary company and the client which appoints it as a consultant, and the company engages one or more individuals to provide the services on its behalf to the client.

The application of these templates cannot actually remove the risk of IR35 applying, and so professional advice should therefore be sought. The advice will need to consider the content of the form of contract to be used together with all of the circumstances and arrangements relating to the work, the freelancer, the client and the personal service (or other intermediary) company.
