From 1 October 2009 it is possible for any limited company to be formed by a single person and have only one shareholder. Furthermore the list of documents required to be filed at Companies House in order to incorporate a new company changes from that date.

From 1 October 2009 in order to incorporate a company a new Form IN01 (application for registration) must be lodged with the Registrar. This replaces Forms 10 & 12 which were previously required.

Form IN01 includes:
- The proposed company name;
- The type of company;
- Details of the registered office;
- Details of directors and secretary;
- Statement of capital and of initial shareholdings;
- Statement of compliance; and
- Articles of association.

Please note that if a company intends to amend the model articles or is adopting bespoke articles then a copy of the amendments or bespoke articles must accompany the application for registration.

In addition to Form IN01 the application for registration must include the memorandum of association. The memorandum must be in the prescribed form and must be authenticated by each subscriber.
