This Deed of Assignment of Unregistered Lease can be used to transfer a Lease from one Tenant (the Assignor) to a new Tenant (the Assignee). 

This Deed of Assignment is only suitable for a Lease that is not registered at the Land Registry. In general, this means a lease which was granted for a term of seven years or less. If the Lease is registered at the Land Registry you should use the Deed of Assignment of Registered Lease (TR1) instead.

Check the terms of the Lease carefully before entering into an assignment. Most Leases place restrictions on a Tenant’s ability to assign the Lease. Usually the Landlord’s consent to the proposed assignment is required. See the Assignment Heads of Terms and the Licence to Assign.

Please note that this Deed of Assignment should not be used for an “old lease”, i.e. a Lease granted prior to 1996.

Clause 1 contains definitions of key terms such as the Lease and the Premises.

Clause 2 records the assignment of the Lease from the Assignor to the Assignee. If the Assignee is paying a premium to the Assignor, this can be recorded here.

Clause 3 provides that the assignment is made with full title guarantee. This means that the Assignor promises (amongst other things) that the Lease is still in place and has not been breached.

Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
