Terms and Conditions -
Please read the following Terms and Conditions, and if you wish to proceed click the 'accept' button. You will then be asked to provide your credit card details and after payment is made you will be emailed your login and password to allow you access to the Product.
1. Definitions
"the Customer" means the user of the Product;
"Simply-docs" means Simply-4-Business Ltd registered in England and Wales under No. 04868909 whose registered office is at Unit 100 Parkway House, Sheen Lane, London SW14 8LS;
"the Product" means the forms, documents and information provided by Simply-docs through this website which are packaged document folders, each of which is available individually or collectively as one package;
"the Fee" means the fee paid by the Customer to access and use the Product for one calendar month;
"Fee Period" means one calendar month commencing on payment;
"Free Period" means 11 more calendar months in addition to the Fee period;
"Permitted Use" means the use of the Product as set out in Clause 2.1.
2. Permitted Use
Subject to the payment of the Fee and subject to the restrictions in Clause 3 below the Customer shall be granted a licence for the duration of both the Fee Period and Free Period to:
2.1 use the Product and reproduce any of the forms or documents contained therein for their own personal and / or business purposes;
2.2 for the purposes of supporting the Permitted Use reproduce, print and make back-up copies on any computer system; and
2.3 copy, modify, adapt, merge, translate, disassemble, or create derivative works based upon the whole or any part of the Product.
3. Exceptions and Restrictions
3.1 The Permitted Use set out in Clause 2 is subject to the following terms and conditions:
3.1.1 the Customer will not sell any part of the Product to third parties;
3.1.2 the Customer will not distribute forms, documents and other materials to third parties for sale or resale whether as part of a package or as a separate product; and
3.1.3 the Customer will not rent, lease, sub-licence or loan any forms, documents or other parts of the Service to third parties.
3.2 The restrictions in Clause 3.1 do not include situations where documents are used in the course of business to facilitate and execute transactions and to manage any and all relevant business affairs.
3.3 The restrictions in Clause 3.1 are subject to the provisions of the Copyright Designs and Patents Act 1988. Simply-docs waives it’s moral rights contained in Sections 77 – 79 of that Act.
4. Ownership
Simply-docs shall at all times retain ownership of the Product, save for such documents as are created and completed within the permissions granted by Clause 2 of these Terms and Conditions.
5. Product and Liability
5.1 Simply-docs will use its best and reasonable endeavours to correct any defects in the Product in a timely manner.
5.2 Simply-docs will not be liable for any loss of any kind including lost profits or other consequential losses arising from the Customer’s use or inability to use the Product or from errors or deficiencies in any part of it except as expressly provided herein.
5.3 It remains the responsibility of the Customer to ensure that any form or document acquired as part of the Product is appropriate and complete in all respects for its intended purpose. Simply-docs gives no warranty that such material will be fit for its intended purpose.
5.4 No liability shall attach to Simply-docs, its employees, or retained consultants for loss or damage of any nature suffered as a result of the use of the Product or for any errors or omissions in the contents of any forms or documents.
6. Refunds
Simply-docs operates a refund policy which shall, at all times, be subject to the discretion of the management. Any Customer wishing to avail themselves of the refund policy should contact Simply-docs for further information.
7. General
The Customer acknowledges that the information, documents and forms provided by Simply-docs are not intended to replace legal or other professional advice and that Simply-docs strongly advises that such advice be sought in all cases where such advice is necessary or appropriate and particularly in any circumstances where the Customer is in any way unsure about the legal aspects of a document or related matters.
8. Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. Any dispute relating to this Agreement shall fall within that jurisdiction
