Corporate Power of Attorney (Transaction)

This Corporate Power of Attorney (Transaction) template provides for the grant of a power of attorney by a company to one or more individuals. It is drafted on the basis that the company is incorporated and based in England & Wales and on the basis that both of those individuals appointed as attorneys under the power of attorney are resident in England & Wales. 

There are few legal restrictions on who may be appointed as an attorney, and the grantor company should be mainly concerned to assure itself that the persons that they intend to appoint are trustworthy and generally suitable for the role prescribed by the power of attorney. 

This template provides for specific powers (as opposed to general powers) to act for the grantor, and it meets those requirements of common law and the Powers of Attorney Act 1971 that apply to a specific power of attorney. (A general power would enable the attorneys to do anything that the company (grantor of the power) could lawfully do through an attorney whereas this limited version specifically authorises – and only authorises – the attorney to carry out steps on behalf of the grantor to implement the particular transaction defined within the power of attorney document.

This template is not suitable for use by trustees (or an executor) to grant any powers to others. It is suitable only for use by a corporate entity in connection with a corporate/ commercial transaction.

A power of attorney in this form may be revoked by the grantor after any date stated in it as the earliest date on which it may be revoked. Any such revocation should normally be by means of a document in the form of a deed. If it is not revoked, it will come to an end in accordance with the duration clause (if that optional clause is included).
