These Notes on How to Set Up a Private Limited Company have been recently updated in order to reflect the introduction of a new Company Formation Pack to the Simply-docs site, following the removal of the requirement of private limited companies to appoint a company secretary.
Company Formation need not be a lengthy or expensive exercise. Very simply, a Private Limited Company can be formed by one or more persons for any lawful purpose by signing the Memorandum of Association and Articles of Association (both subject to specified formats) and duly completing Companies House Forms 10 and 12. These documents are sufficient to incorporate the company.
Once you have subscribed your only additional cost will be £20.00 to Companies House.
All the requisite documents are provided either by way of the Company Formation packs (I - V) or by using the individual documents therein. The packs provide all the requisite documents and more (see Related Documents below), completed from a single form.
If the parameters you choose for the Company Formation are either "two directors, one of whom is to be the Company Secretary" or "four directors, one of whom may be the Company Secretary" - all shares fully paid - the Company Formation packs are the simplest method of forming the company.
