Letter – Breach of Contract Rectification Request (No Legal Action)

BS.DC.14

When a party to a contract breaches that contract the aggrieved party has a number of options ranging from a waiver of the breach to terminating the contract and taking legal action.

This Breach of Contract Rectification Request Letter (No Legal Action) represents the next step up in severity from a full waiver and is better suited to those situations where some rectification is required on the part of the breaching party before matters can proceed. Subject to the breaching party’s satisfactory rectification of their breach, the aggrieved party agrees not to take legal action and to allow the contract to continue.

An optional provision addresses the possibility that the breach occurred through no fault of the party in default – in other words as a result of force majeure. In this case, the breaching party is invited to respond immediately with details of such circumstances and will not be held to be in breach if those circumstances are genuinely beyond their reasonable control.

Optional phrases / clauses are enclosed in square brackets. These should be read carefully and selected so as to be compatible with one another. Unused options should be removed from the document.
